Terms & Conditions

Please read these Terms & Conditions ("Terms") carefully before using the Soho London website (the "Service"). By accessing or using the Service you confirm that you have read, understood and agree to be legally bound by these Terms. If you do not agree with any part of these Terms, you must not use the Service. These Terms constitute the entire agreement between you and Soho London (operated by Teksyte LTD) and supersede any prior agreement relating to the Service.

Interpretation & Definitions

The following definitions apply throughout these Terms:

  • "Company", "We", "Us" refers to Soho London (operated by Teksyte LTD), registered in England & Wales, with business correspondence address at 71–75 Shelton Street, Covent Garden, London WC2H 9JQ, United Kingdom.
  • "Service" refers to the Soho London website, its subdomains, APIs and any associated digital content or features.
  • "User", "You" refers to the individual accessing or using the Service, or the business entity on whose behalf such person acts.
  • "Listing" refers to a business profile published on the Service.
  • "Content" refers to text, images, logos, data, and other material available through the Service, whether submitted by a User, generated automatically (including by AI systems), or created by the Company.
  • "User Content" refers to any Content submitted, uploaded, posted or otherwise made available to the Service by a User.
  • "AI-Generated Content" refers to Content produced in whole or in part by artificial-intelligence systems operated by or on behalf of the Company.

Acceptance, Eligibility & Authority

By accessing or using the Service you confirm that you are at least 18 years of age and have the legal capacity under the laws of England & Wales to enter into a binding agreement. The Service includes listings of licensed premises (bars, casinos, nightclubs and adult-entertainment venues) which are available only to adults under UK law; you must not register an account or submit User Content if you are under 18. If you are accessing or using the Service on behalf of a business, partnership, company or other entity, you represent and warrant that you have full authority to bind that entity to these Terms.

These Terms apply to all visitors, registered users, listed businesses, advertisers and any other party who accesses or uses the Service, regardless of whether the Service is accessed via our website, our APIs, embedded widgets, or syndicated content.

Nature of the Service — Directory Disclaimer

The Service is an online directory and editorial publication for the Soho neighbourhood of London. It lists third-party businesses (restaurants, bars, theatres, casinos, hotels, retailers and other Soho venues) that have registered with us, submitted information to us, or that we have identified through publicly available sources. We are not a broker, agent, intermediary, introducer, guarantor or fiduciary for any listed business, and we do not conduct, endorse, underwrite, insure or supervise any transaction, booking or interaction between a User and a listed business.

Listings are provided "as is" on a good-faith basis. Descriptions, ratings, opening hours, addresses, menus, prices, ticket availability, alcohol- and food-licence status, dress codes, accessibility information and event listings are supplied by the listed business or drawn from third-party sources and may change without notice. You acknowledge that you rely on any listing at your own risk and that any visit, booking, purchase or contractual relationship you enter into with a listed business is strictly between you and that business.

Inclusion in the directory does not imply that the Company has verified the qualifications, premises licences (Licensing Act 2003), Food Standards Agency hygiene rating, fire-safety certification, public liability insurance, accessibility status (Equality Act 2010), or business practices of a listed business. Users are encouraged to confirm operating details, licensing and accessibility directly with the venue before travelling, particularly in respect of late-night premises, ticketed events and age-restricted venues.

User Accounts & Listing Submissions

If you create an account or submit a Listing you agree to provide accurate, current and complete information and to keep that information up to date. You are responsible for maintaining the confidentiality of your account credentials and for any activity that occurs under your account. You must notify us immediately at legal@soho-london.co.uk of any unauthorised use.

By submitting a Listing or other User Content you represent and warrant that: (a) you are the owner, or are authorised to act on behalf of the owner, of the business described; (b) the information provided is true, accurate and not misleading; (c) the business holds all licences, permits, insurance and certifications required to lawfully operate at the premises described (including any premises licence under the Licensing Act 2003 where the business sells alcohol or provides regulated entertainment); and (d) you hold all rights, licences, consents and permissions required under law to submit the Content and grant the licences described in Section 6.

User Content — Warranties & Indemnity

You retain ownership of any intellectual-property rights you already hold in User Content. However, you are solely responsible for User Content you submit and for the consequences of submitting it.

You warrant that User Content you submit (including business descriptions, photographs, logos, videos, menus, reviews, testimonials and any other material):

  • is owned by you, or you have obtained all necessary licences, consents and permissions (including photographer releases and model releases where applicable) to submit it to the Service and grant the licences in Section 6;
  • does not infringe any copyright, trade mark, design right, database right, confidential-information right, privacy right, publicity right or other intellectual-property or proprietary right of any third party;
  • does not contain defamatory, threatening, obscene, harassing, unlawful or otherwise objectionable material;
  • complies with all applicable laws and regulations (including, without limitation, the Consumer Protection from Unfair Trading Regulations 2008, the Business Protection from Misleading Marketing Regulations 2008, the Digital Markets, Competition and Consumers Act 2024, the Consumer Rights Act 2015, the Equality Act 2010, the Licensing Act 2003 where alcohol or regulated entertainment is described, and Food Information Regulations 2014 where menu items are described);
  • does not contain malware, viruses, cryptominers, tracking pixels or any other harmful code.

You agree to indemnify, defend and hold harmless the Company, its directors, officers, employees and agents from and against any and all claims, damages, losses, liabilities, costs and expenses (including reasonable legal fees) arising from (i) your User Content, (ii) your breach of these Terms, or (iii) your violation of any third-party right or applicable law.

Licence Grant — User Content to the Company

By submitting User Content to the Service, you grant the Company a worldwide, non-exclusive, royalty-free, transferable, sub-licensable licence to use, reproduce, adapt, publish, translate, create derivative works from, distribute, perform and display that User Content on the Service and in any media now known or later developed, for the purposes of operating, promoting and improving the Service, including marketing, social-media promotion of your Listing, and syndication to partner directories.

This licence survives termination of your account in respect of (a) content already distributed or cached by third parties, and (b) archival and backup copies necessary to operate the Service. You may request removal of specific User Content by emailing legal@soho-london.co.uk; we will act on reasonable requests within 30 days.

Images — Client-Supplied, Third-Party & AI-Generated

Images displayed on the Service fall into three categories, each with distinct rights and disclaimers:

(a) Client-supplied images. Most venue, interior, food, drink, event-flyer and portrait photographs on individual Listings are supplied by the listed business when they request a Listing be created or updated. The listed business warrants to us that they own or have properly licensed all rights in those images, including rights from photographers, subjects, models, brand owners and other rights-holders. The Company is not in a position to independently verify these rights and expressly disclaims responsibility for their accuracy. If you are a rights-holder and believe an image has been published on the Service without your permission, please follow the takedown procedure in Section 8 below.

(b) Third-party stock or editorial images. Hero images, category tiles, neighbourhood photography and illustrative imagery may be sourced from licensed stock libraries (e.g. Unsplash, Shutterstock) or obtained under editorial fair-dealing exceptions of the Copyright, Designs and Patents Act 1988. Where attribution is required by the applicable licence, credit is provided on the same page or in the image caption.

(c) AI-generated images. Some editorial and illustrative images published on the Service — particularly alongside blog posts and category landing pages — are produced in whole or in part by artificial-intelligence image-generation systems. AI-generated images on this Service:

  • are illustrative only and are not photographs of real people, real venues, real menus or specific events unless explicitly stated;
  • are generated from prompts we author, using systems whose output licence permits commercial use;
  • are not intended to depict any identifiable living person, and any resemblance to a real individual is coincidental;
  • are not substitutes for venue inspection or for menus, dress-codes, accessibility statements or pricing supplied by the venue itself, and must not be relied on to assess the appearance, ambience or current trading status of a specific venue.

You agree that you will not use any image from the Service outside the Service without our express prior written permission.

Takedown Procedure & Copyright Complaints

We respect intellectual-property rights and respond promptly to credible complaints. If you believe Content on the Service infringes your copyright, trade mark or other right, please email legal@soho-london.co.uk with the following information:

  • a description of the work you claim has been infringed;
  • the specific URL(s) on the Service where the allegedly infringing material appears;
  • evidence of your ownership of, or authorisation to act on behalf of the owner of, the right claimed;
  • your full name, business address, email and a phone number;
  • a statement that you have a good-faith belief that the use complained of is not authorised.

We will acknowledge credible takedown requests within 5 business days and will act on them, where appropriate, within a reasonable period. Knowingly submitting a false takedown request may expose the sender to liability for damages, including costs and legal fees.

Intellectual Property of the Company

Except for User Content and third-party material, the Service and all of its original content, design, software, source code, database structure, layout, editorial text, icons, logos, and trade marks are the exclusive property of Soho London (operated by Teksyte LTD) and its licensors, and are protected by the Copyright, Designs and Patents Act 1988, the Trade Marks Act 1994, the Database Right (Council Directive 96/9/EC as implemented in UK law), and applicable international treaties.

Nothing in these Terms grants you any right to use the Company's name, logos, domain names, or other distinctive brand features. You may not copy, modify, distribute, sell, scrape, reverse-engineer, data-mine or create derivative works based on the Service or its content without our prior written consent. Bulk extraction of listings, images or editorial content for any purpose — commercial or otherwise — is prohibited.

Prohibited Uses

You agree not to use the Service to: (i) impersonate any person or entity, or falsely represent an affiliation; (ii) submit content that is unlawful, defamatory, obscene, discriminatory or harassing; (iii) collect or harvest personal data of other users; (iv) interfere with, disable or overburden the Service, or circumvent any security or rate-limiting measures; (v) attempt unauthorised access to any part of the Service, other accounts, or connected systems; (vi) use automated means (bots, scrapers, crawlers) to access the Service except for search-engine indexing in accordance with our robots.txt; (vii) use the Service to distribute malware or unsolicited commercial communications; or (viii) use the Service in a manner that could damage, disable or impair the Service or interfere with other users' enjoyment.

We reserve the right — at our sole discretion, without notice and without liability — to remove any Content, suspend or terminate accounts, or report illegal activity to the appropriate authorities.

Subscriptions, Advertising & Billing

Some features of the Service, including premium Listing tiers (Bronze, Silver, Gold) and advertising placements, are offered on a paid subscription basis. Subscription fees are quoted in pounds sterling (GBP) and are exclusive of UK VAT unless otherwise stated. Invoices are issued by Teksyte LTD.

Subscriptions renew automatically at the end of each billing cycle unless cancelled at least 7 days before the renewal date. You may cancel at any time via your account dashboard or by emailing info@soho-london.co.uk. Cancellations take effect at the end of the current paid period and we do not issue pro-rata refunds for partial periods.

Where you are contracting as a consumer (rather than in the course of a business), you may have a statutory 14-day cooling-off period under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. By starting to use a paid feature during the cooling-off period you agree that you waive this right in respect of the digital content already supplied.

Reviews, Ratings & Testimonials

Where the Service allows you to post reviews, ratings or testimonials you must post only honest, first-hand experiences. Fake reviews, paid-for reviews not clearly disclosed as such, and reviews intended to damage a competitor are prohibited and may be actionable under the Digital Markets, Competition and Consumers Act 2024 and the Consumer Protection from Unfair Trading Regulations 2008.

We may edit for clarity, length or profanity, but we will not materially alter the substance of your review without your consent. We may remove reviews that breach these Terms.

Disclaimers & No Warranty

The Service is provided on an "as is" and "as available" basis without any express or implied warranty. To the fullest extent permitted by applicable law, the Company disclaims all warranties, whether express, implied, statutory or otherwise, including but not limited to implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, accuracy, non-infringement, and uninterrupted or error-free operation.

Without limiting the above, we do not warrant that: (a) the Service will meet your requirements; (b) listings, prices, opening hours, menus, ticket availability or event details are accurate or current; (c) the results obtained from using the Service will be reliable; or (d) the quality of any product, service, venue or experience obtained through information found on the Service will meet your expectations.

Limitation of Liability

To the maximum extent permitted by law, the Company and its directors, officers, employees, contractors, agents and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, including without limitation loss of profits, loss of revenue, loss of savings, loss of business opportunity, loss of goodwill, loss of data or loss of use, arising out of or in connection with your use of, or inability to use, the Service, whether based on contract, tort (including negligence), statute or any other legal theory.

In no event shall our aggregate liability exceed the greater of (i) one hundred pounds sterling (£100), and (ii) the total fees paid by you to the Company in the twelve (12) months immediately preceding the event giving rise to the liability.

Nothing in these Terms excludes or limits our liability for: death or personal injury caused by our negligence; fraud or fraudulent misrepresentation; any matter for which it would be unlawful to exclude or attempt to exclude our liability; or any statutory rights you may have as a consumer that cannot be waived.

Third-Party Links & Integrations

The Service contains links to third-party websites and embeds third-party services (including OpenStreetMap, Google Analytics, Google Tag Manager, payment providers and mapping services). We have no control over, and assume no responsibility for, the content, privacy policies or practices of any third-party site or service. You access third-party sites and use third-party services at your own risk and subject to their own terms and privacy policies.

Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination your right to use the Service will cease. Provisions of these Terms that by their nature should survive termination — including ownership provisions, warranty disclaimers, indemnity, limitation of liability and governing-law clauses — shall survive.

You may terminate these Terms at any time by closing your account and ceasing all use of the Service. Deletion of your account does not automatically remove Listings that have been published; to remove a Listing, email legal@soho-london.co.uk.

Changes to these Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide at least 14 days' notice before any material change takes effect, by posting the revised Terms on this page and updating the "Last updated" date. Continued use of the Service after a revision takes effect constitutes acceptance of the revised Terms. If you do not agree to the new Terms you must stop using the Service.

Governing Law, Jurisdiction & Dispute Resolution

These Terms and any non-contractual obligations arising out of or in connection with them shall be governed by and construed in accordance with the laws of England & Wales. The courts of England & Wales shall have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms (including non-contractual disputes), save that a consumer ordinarily resident in Scotland or Northern Ireland may bring proceedings in their own courts where applicable law so requires.

Before commencing formal proceedings, we encourage you to contact us at legal@soho-london.co.uk to attempt resolution in good faith. Where the dispute is a consumer matter, you may also use available UK-based alternative dispute-resolution bodies for cross-border or domestic cases.

Severability, Waiver & Entire Agreement

If any provision of these Terms is held to be invalid, illegal or unenforceable, that provision shall be severed and the remaining provisions shall continue in full force and effect. No failure or delay by the Company in exercising any right or remedy shall be a waiver of that right or remedy. These Terms (together with the Privacy Policy, Cookie Policy and any other policies referenced herein) constitute the entire agreement between you and the Company regarding the Service, and supersede all prior or contemporaneous communications and proposals, whether oral or written.
